1. Agreement and Scope
These Terms of Use govern access to the website at https://eosedtech.com/, EOS Navigator, other digital services, events, communications, and related activities offered by EOS EDTECH SOLUTIONS INC., carrying on business as EOS EdTech ("EOS", "we", "us", "our"). Our address is 77 King Street West, Suite 400, Toronto, Ontario, M5K 0A1, Canada and our contact details are info@eosedtech.com.
When you create an account, place an order, or register for an activity, we present these Terms and ask you to affirmatively agree before proceeding. If you do not agree, do not complete that process. Public materials remain subject to applicable law and the permissions stated with them.
Our Privacy Policy at https://eosedtech.com/en/privacy/ explains our personal information handling practices. Agreement to these Terms is distinct from privacy consents, cookie choices, and marketing permissions. A signed service agreement or clearly presented activity-specific terms may supplement these Terms. In a conflict, mandatory law prevails, followed by the signed agreement or specific order terms, and finally these Terms. No document overrides non-waivable consumer rights.
2. Eligibility, Accounts, and Organizations
Self-service accounts are intended for individuals who have reached the age of 18 or the age of majority in their jurisdiction of residence, whichever is greater, and can enter into a binding legal contract. You agree to provide accurate account information and keep your credentials confidential. Notify info@eosedtech.com promptly of any suspected unauthorized access. You are responsible for authorized activity under your account; this clause does not make you automatically liable for activity beyond your control or remove EOS's security obligations.
An adult may use the Services to explore education options for a minor without creating an account for that child. Direct youth programs require separate approved terms and safeguards. Do not misrepresent your age or another person's authority.
If you accept these Terms on behalf of an organization, you represent that you have authority to bind that organization. Organization-sponsored accounts may be governed by a separate corporate agreement and enrolment notice. Do not share another individual's personal information or confidential organizational records without authorization.
3. What EOS Provides
EOS provides tools to support understanding, comparison, and preparation for Canadian education and career pathways. Features may include profiles, source retrieval, option comparisons, draft plans, saved progress, referrals, and human support. Availability depends on the selected feature or subscription. Paid features and material restrictions are disclosed prior to purchase.
EOS is not an educational institution, employer, admissions body, credential assessment agency, professional regulator, lender, or government agency. Only the responsible institution or government authority (such as IRCC) can decide admission, licensing, hiring, funding, immigration status, or visa eligibility. EOS does not guarantee school acceptance, a credential, employment, funding, a visa, or permanent residence.
Services do not constitute emergency response services. Do not rely on unconfirmed support requests to preserve legal, academic, or immigration filing deadlines.
4. Immigration and Regulated Advice Disclaimer
General immigration information provided across the Services is for educational and navigation purposes only. EOS and its AI features do not provide personalized legal or immigration advice, legal representation, or a professional retainer. You must verify current requirements with Immigration, Refugees and Citizenship Canada (IRCC) and obtain advice from an authorized professional (e.g., an RCIC or licensed lawyer) when required.
Canadian law strictly restricts immigration advice or representation provided for consideration under Section 91 of the Immigration and Refugee Protection Act (IRPA). A general disclaimer does not authorize unlicenced practice. Any separately offered regulated service must explicitly identify the authorized professional, their regulatory body, and licence status, and be governed by a distinct engagement agreement.
You remain solely responsible for truthful submissions, supporting documentation, and meeting deadlines. EOS will not submit an application on your behalf, communicate as your representative, or access government portals (such as GCKey). Do not share government portal credentials with EOS.
5. AI Outputs and Verification
AI features generate content based on user inputs, retrieved materials, and model outputs. Outputs can contain inaccurate facts, outdated requirements, formatting errors, or incomplete reasoning. Different users may receive similar output. Sources and dates must be independently verified.
Treat generated plans, eligibility calculations, and draft documents strictly as personal review aids. Confirm consequential facts, deadlines, fees, and requirements directly with the responsible institution or government authority.
You may correct your profile, report an error, or request human review at info@eosedtech.com. Human review does not convert general platform navigation into regulated professional advice. We reserve the right to pause or modify affected features to address safety or accuracy concerns.
6. Permission to Use the Services
EOS grants you a limited, non-exclusive, non-transferable, revocable permission to access and use the Services for personal or authorized internal organizational purposes. You may save, export, and share your own generated pathway documents for these purposes.
Prohibited Uses: You agree not to:
- Access another user's account without permission.
- Circumvent security controls or scrape restricted content.
- Distribute malware or use the platform to transmit unlawful material.
- Impersonate any person or misrepresent affiliations.
- Use outputs for fraudulent purposes or unlawful decision-making.
- Resell or commercially exploit the platform access or protected materials without written permission.
Automated access must occur strictly through authorized interfaces within disclosed rate limits. Report security vulnerabilities responsibly to info@eosedtech.com.
7. User Content and Intellectual Property
You retain ownership of the content and documents you upload ("User Content"). You grant EOS a non-exclusive, worldwide, royalty-free licence to host, process, copy, and display User Content solely to provide, secure, and improve the Services as outlined in our Privacy Policy. This includes processing by authorized third-party service providers (e.g., cloud hosting and AI infrastructure).
Notice Regarding International Data Transfers: User Content processed by cloud and AI providers may be stored or processed outside of Canada (including in the United States) and may be subject to disclosure under foreign laws.
This licence terminates when your content or account is deleted, subject to legally required record retention and backup expiry cycles. EOS does not use your private User Content or name for public advertising or general third-party model training without your express consent.
To the extent EOS holds assignable intellectual property rights in output generated specifically for you, EOS assigns those rights to you, excluding EOS core platform materials, software, and third-party content. EOS and its licensors retain all rights, title, and interest in the platform, software, branding, and proprietary reference materials.
8. Fees, Subscriptions, and Cancellation
All fees, billing cycles, taxes, and renewal terms are presented clearly prior to checkout. Prices are listed in Canadian Dollars (CAD) unless specified otherwise.
- Subscriptions: No recurring charge is processed without your explicit opt-in. Subscription details disclose billing frequency, trial conversions, and cancellation methods.
- Cancellation: You may cancel a subscription at any time via sending an email to info@eosedtech.com by indicating your request. Cancellation takes effect at the end of the current paid billing period.
- Refunds: Nothing in these Terms limits statutory consumer cancellation rights under applicable provincial consumer protection legislation (e.g., Ontario Consumer Protection Act).
9. Third-Party Links and Referrals
The Services may contain links to independent educational institutions, language testing organizations, or credential evaluation services. Their respective terms and privacy policies govern your use of their services.
If EOS receives a referral fee or commission for recommending a third-party provider, we disclose that commercial relationship clearly near the referral. Financial relationships do not bias objective eligibility rankings. Personal data is not transferred to third parties without your explicit direction or consent.
10. Communications and Community Conduct
Operational notices will be sent to your registered contact details. Promotional communications adhere to Canada's Anti-Spam Legislation (CASL); you may unsubscribe from marketing messages at any time using the link in the email or via your account settings.
When participating in EOS events or community forums, you agree to adhere to civil conduct standards. EOS reserves the right to remove participants who engage in harassment, discrimination, or unlawful behaviour. Respect the privacy of other participants; do not record or distribute private group sessions without consent.
11. Availability, Suspension, and Termination
While we strive for consistent uptime, we do not guarantee uninterrupted availability. Maintenance, cloud provider outages, or security incidents may temporarily disrupt access.
EOS may suspend or terminate your access if reasonably necessary to prevent harm, address a security breach, or enforce compliance with these Terms. Where practical and legally permitted, we will provide notice and an opportunity to resolve the issue via info@eosedtech.com.
You may close your account at any time by sending email to info@eosedtech.com by indicating your request. Account termination does not extinguish outstanding payment obligations or provisions intended by their nature to survive (including IP rights and liability limits).
12. Disclaimers and Limitation of Liability
To the maximum extent permitted by applicable Canadian law, the Services and AI outputs are provided "as is" and "as available" without warranties of any kind, express or implied.
To the extent permitted by law, EOS and its officers, directors, and employees will not be liable for indirect, incidental, special, or consequential damages (including lost opportunities or immigration delays).
13. Accessibility
EOS is committed to digital accessibility in accordance with the Accessibility for Ontarians with Disabilities Act (AODA) and applicable human rights legislation. To request accessible formats or communication supports, please contact info@eosedtech.com. We will consult with you to provide suitable accommodations at no additional cost.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
If a dispute arises, you agree to first contact info@eosedtech.com to attempt an informal resolution. This step is voluntary and does not modify statutory limitation periods. Nothing in these Terms deprives you of the right to bring a claim before a court of competent jurisdiction or regulatory body in your province of residence.
15. Updates and General Terms
We may update these Terms periodically. We will provide advance notice of material changes on our website or via email. Continued use of the platform after the effective date of updated Terms indicates your acceptance.
If any provision of these Terms is deemed unenforceable, the remaining provisions will remain in full force. EOS may assign its rights under these Terms in connection with a corporate reorganization or acquisition provided your statutory rights are maintained.
